• Fiduciary Responsibility – Act in the best interests of Punchlists and its shareholders; maintain duties of care and loyalty as the company builds early traction in the construction AI space.
• Strategic Oversight – Advise on vision and roadmap for AI-driven SMS project management; challenge and support the CEO on go-to-market strategy, partnerships (e.g., Cloudflare, Telnyx), and product-market fit milestones.
• Financial Oversight – Review financial projections, budgets, and cash burn; approve fundraising targets, investor terms, and major expenditures for scaling infrastructure or marketing.
• CEO Support & Evaluation – Provide guidance and mentorship to the CEO on startup growth, fundraising strategy, and executive decision-making; evaluate CEO performance relative to key milestones.
• Fundraising Support – Leverage personal and professional networks to connect with investors; review term sheets and contribute to capital-raising strategy (pre-seed and seed rounds).
• Governance & Compliance – Ensure compliance with early-stage regulatory requirements (e.g., 10DLC SMS compliance, corporate filings, equity grants); approve bylaws, stock option plans, and cap table changes.
• Risk Management – Identify key risks (technical, regulatory, market adoption) and ensure mitigation strategies, especially around AI data handling and SMS compliance.
• Networking & Advocacy – Open doors for strategic partnerships in AI, construction technology, and cloud infrastructure; represent Punchlists in relevant industry events or investor forums.
• Hiring & Talent Support – Advise on hiring technical and go-to-market roles; assist with recruiting senior advisors in AI, cloud infrastructure, or construction markets.
• Meeting Participation – Prepare for and actively participate in quarterly board meetings; serve on committees (e.g., finance, compensation) as required.
